Novation is a process that allows Clients to oversee the early stages of design development of a project and then transfer the responsibility for the design to a Contractor after the contract has been awarded. More than one-third of design-and-build projects start with the consultant being appointed by the employer-client and subsequently novated to the design-and-build contractor. (Novation here means roughly that the employer-client's contract with the consultant is transferred to the contractor, as if the contractor had been the client from the outset.) The practice of novating design consultants is now a ubiquitous feature of design and build (D&B) contracts in the UK. Over the last 20 years or so, informed by decisions such as Blyth & Blyth Ltd v Carillion Construction Ltd , the wording of novation agreements has evolved to the stage of a largely market standard position, which is generally accepted by both contractors and consultants.
